Non-cash dividend

We have a regulated company (Company B) that has a regulated sub (Company C). We intend to give the sub to our parent company (Company A - nonregulated) via a non-cash dividend so that ultimately the nonregulated parent becomes the single parent of both child companies. Any guidance on the account for this as far as how this would run thru on Company B? We currently use the equity method to value Company C. Would that be the valuation we would use or would we need to use fair value in this instance?

probably fair value. See SSAP 25 paragraphs 12-16.
